Neato is a 2P ecommerce acceleration partner for consumer brands. Instead of managing an Amazon account for a retainer, Neato buys inventory at wholesale, becomes seller of record and operates listings, pricing, advertising, creative, fulfilment, customer service and reporting. It can also extend the model into Walmart, TikTok Shop, D2C and full-funnel advertising.

Our short verdict is that Neato is an interesting alternative for established CPG brands that want to transfer marketplace execution and inventory risk to one accountable operator. Its incentives differ from an agency because revenue comes from retail margin rather than billable services. The model is not automatically better: wholesale economics, exclusivity, pricing authority, inventory ownership, data access and exit terms become more important than an agency fee.

How Neato's 2P model works

In a 1P arrangement, Amazon buys from the brand. In 3P, the brand or its agent sells through Marketplace. In Neato's 2P model, the brand sells inventory to Neato, which becomes the authorised online retailer and seller of record.

Neato then controls day-to-day retail execution inside agreed brand guardrails. Public materials cover purchase orders, catalogue cleanup, product detail pages, A+ content, brand stores, advertising, promotions, fulfilment, returns, customer service, reporting and brand protection.

This transfers work and some risk, but it also changes cash flow and governance. A brand should model the net wholesale contribution against the net profit and labour required under 1P, internal 3P or an agency-managed account.

Neato becomes seller of record, manages catalogue health, pricing, orders, returns, customer service and compliance. This can remove the internal coordination burden between ecommerce, finance, operations and supply chain.

The contract should define channel scope, authorised seller status, Buy Box expectations, pricing floors, stock ownership, damaged and obsolete goods, chargebacks, recalls and marketplace suspensions.

Advertising and growth

Compare cash timing, margin, risk, staffing and growth across alternatives. Model conservative, base and upside cases, including returns, promotions, storage and unsold inventory.

A Neato evaluation should begin with SKU-level economics. Share a controlled dataset covering wholesale cost, retail price, Amazon fees, freight, prep, storage, returns, promotions, ad spend and historic stockouts. Compare the brand's current net contribution with the proposed wholesale terms and test what happens when retail prices or marketplace fees change.

The agreement should define purchase-order cadence, payment terms, minimum buys, forecast obligations, title and risk of loss, damaged stock, recalls, ageing inventory and end-of-life products. Clarify whether Neato can return inventory, discount without approval or change assortment. Brands should understand how cash-flow improvement trades against margin and control.

Governance matters because Neato becomes the operating retailer. Establish brand and pricing guardrails, approval timelines, escalation paths and a monthly business review with a consistent scorecard. Required metrics should include in-stock rate, Buy Box share, contribution margin, organic rank, advertising efficiency, return rate, suppression events, inventory turns and forecast accuracy.

Data and exit rights deserve equal attention. Specify access to Seller Central information, advertising search terms, customer and order data, creative files, catalogue history and reporting exports. Define how authorised-seller status, listings, inventory, reviews, advertising accounts and brand assets transition if the relationship ends. A model that simplifies operations during the contract should not make the brand dependent after it.

How to compare the 2P model fairly

Do not compare Neato's embedded margin with an agency retainer alone. Build a three-year model for internal 3P, agency-managed 3P, Amazon 1P and Neato 2P. Include headcount, working capital, software, warehouse costs, chargebacks, advertising, returns, lost sales from stockouts and management time.

The best option may vary by channel or product line. A brand can pilot a defined catalogue or geography before transferring the entire business, provided marketplace permissions and channel conflict are carefully managed.

Final verdict

Neato's model can align execution and economics more directly than a conventional agency. We would advance it to diligence for the right CPG brand, but only after modelling the wholesale P&L and negotiating pricing guardrails, data access, inventory risk, approvals and termination. “No management fee” is a model description, not a substitute for commercial analysis.
